Terms of Use and General Conditions of the Toodrop Platform

1. Preliminary Provisions
1.1. These Terms govern access to and use of the digital platform known as TOODROP, made available by MCC PROMOCAO DE VENDAS LTDA, CNPJ 13.218.000/0001-04, headquartered in Belo Horizonte, Brazil.
1.2. By using the Platform, the user declares to have read and fully accepted these Terms.
1.3. Toodrop operates exclusively as a digital intermediation technology platform and does not engage in transportation, professional storage, custody, insurance or any logistics activity of its own.
2. Definitions
- Dropper One: User who authorizes neighbors, registers Droptags and validates the final flow.
- Toodropper: Authorized neighbor for temporary custody of goods.
- Dropper: Delivery person responsible for physical transport.
- Droptag: Unique digital identifier linked to the package.
- Toodrop Protocol: Mandatory digital procedure for traceability and successive transfer of responsibility.
3. Legal Nature
3.1. Toodrop is not a carrier, depositary, logistics operator or insurer.
3.2. The Platform does not hold direct or indirect possession of goods.
3.3. Transport is the sole responsibility of the Dropper.
3.4. Temporary storage is the sole responsibility of the Toodropper.
4. Toodrop Protocol — Validation, Payment and Formal Closure
4.1 Mandatory Protocol Structure
Every operation must mandatorily complete the following steps:
- Prior Droptag registration by the Dropper One;
- Generation of an exclusive QR Code linked to the package;
- QR Code reading and validation by the Dropper at the time of delivery;
- Digital confirmation of responsibility transfer from transport to the Toodropper;
- Automatic recording of date, time, geolocation and party identification;
- Temporary storage by the Toodropper;
- In-person pick-up by the Dropper One;
- Physical inspection of goods by the Dropper One;
- Digital validation of apparent integrity of goods;
- Payment to the Toodropper;
- Electronic record of definitive closure of the operation.
4.2 Successive Transfer of Responsibility
- QR Code validation upon delivery transfers responsibility from the Dropper to the Toodropper.
- Final validation by the Dropper One, accompanied by payment, definitively transfers responsibility to the Dropper One.
- The Toodropper's responsibility is strictly limited to the period between initial and final validation.
4.3 Formal Closure and Discharge
- The final digital confirmation has full legal validity.
- Payment made in the final flow constitutes full discharge of temporary custody obligations.
- After final validation and payment: the Toodropper's obligations are extinguished; the Platform's intermediation ends; presumption of integrity regarding apparent defects is established.
4.4 Presumption of Integrity
- Claims of damage must be registered before final confirmation.
- Absence of registration implies a relative presumption of goods integrity.
4.5 Non-Compliance with the Protocol
Operations conducted outside the official flow exempt the Platform from liability.
5. Dropper One Responsibilities
- Correctly authorize the Toodropper.
- Register a valid Droptag.
- Inspect goods at the time of pick-up.
- Not send illegal or hazardous items.
- Assume risk for the choice of authorized trusted neighbor.
6. Toodropper Responsibilities
- Store goods in a minimally secure environment.
- Not open or tamper with contents.
- Refuse irregular receipt.
- No obligation for insurance or armed surveillance.
7. Dropper Responsibilities
- Fully responsible for transport.
- Validate Droptag before delivery.
- Liable for damages occurring during transport.
- Operates as an independent professional.
8. Limitation of Liability
- Toodrop is not liable for losses, damages, misdeliveries or user conduct.
- Any liability is limited to the amount of the intermediation fee received.
9. Anti-Fraud Clause
- The Platform may suspend users for use of false data or attempts to circumvent the Protocol.
- It may withhold funds and notify authorities.
- Users are civilly and criminally liable for fraud.
10. Data Protection — LGPD
- Processing in compliance with Brazilian Law 13.709/2018.
- Data collected: identification, address, geolocation and transaction history.
- Purposes: contract execution, security and fraud prevention.

11. Insurance
The Platform does not provide automatic insurance.
12. Arbitration
- Disputes shall be resolved by arbitration pursuant to Brazilian Law 9.307/96.
- Arbitration chamber: Câmara de Mediação e Arbitragem Empresarial Brasil – CAMARB.
- Venue: Belo Horizonte, Brazil. Language: Portuguese.
13. Final Provisions
- The Platform may amend these Terms through digital update.
- Continued use implies acceptance.
